Terms of Use
These Terms of Use (“Terms”) govern access to and use of the Smart After Call SDK website, SDK access request process, SDK, related documentation, and related services provided by Visiggi s.r.o., Slovenska 23, 12 000 Praha, Czechia, European Union (“Company”, “we”, “us”, or “our”).
1. Product owner
Smart After Call SDK is owned and operated by Visiggi s.r.o., Slovenska 23, 12 000 Praha, Czechia, European Union.
2. Eligibility
You may request access to the SDK only if you are legally able to enter into a business agreement and you own or represent a mobile application that complies with applicable laws, platform policies, advertising network policies, and privacy requirements.
3. SDK access
Submitting the access form does not guarantee approval. We may approve, reject, suspend, or terminate SDK access at our discretion, including for policy, technical, compliance, quality, business, or security reasons.
4. Developer responsibilities
You are responsible for your app, users, permissions, notices, consent flows, privacy policy, app store compliance, advertising compliance, and all content or functionality provided in your application.
5. Required permissions and user transparency
If your app uses call-related permissions, overlay permissions, notification permissions, advertising identifiers, or similar functionality, you must clearly explain the purpose to users and obtain all legally required permissions and consents.
6. Advertising and revenue share
If approved, the SDK may display advertising units inside the Smart After Call Assistant experience. Unless otherwise agreed in writing, net advertising revenue generated from the SDK placement may be shared 50% / 50% between Visiggi s.r.o. and the approved developer.
7. Payment terms: NET 30
Eligible revenue share payments are made on a NET 30 basis. This means payment is due within 30 days after the end of the month in which the eligible revenue was earned, provided that the revenue has been verified, received from the advertising network, and the developer remains compliant with these Terms.
8. Invoicing and payment method
The developer must issue an invoice on the 15th day of each month for eligible revenue earned during the previous calendar month. Payments will be made based on the issued invoice by bank transfer to the developer’s or developer company’s bank account.
The invoice must include accurate company, tax, bank account, and payment details. We may delay payment if the invoice is incomplete, incorrect, missing required legal information, or if the developer has not provided the required payment or tax details.
9. When payments may be withheld or not paid
We may withhold, reduce, delay, or refuse payment if any of the following occur:
- You violate these Terms, SDK rules, platform policies, advertising network policies, privacy laws, or applicable laws.
- Your app is removed, suspended, restricted, or rejected by Google Play or another app store for policy violations.
- Google AdMob or another advertising network disables, limits, suspends, or terminates your ad unit, account, app, placement, or traffic.
- Revenue is flagged as invalid traffic, fraud, bot traffic, incentivized abuse, accidental clicks, policy-violating traffic, or otherwise non-payable by an advertising network.
- You manipulate SDK behavior, ad placements, impressions, clicks, calls, user actions, reporting, or traffic quality.
- Your app contains illegal, deceptive, harmful, adult, violent, infringing, malicious, privacy-invasive, or prohibited content.
- You fail to provide accurate payment, tax, company, app, or compliance information.
- The advertising network does not pay us for the relevant revenue.
- There is an ongoing investigation, dispute, chargeback, compliance review, or suspected abuse.
10. Reporting
Revenue and performance data may be estimated, delayed, adjusted, or corrected based on advertising network reporting, invalid traffic deductions, currency conversion, refunds, and compliance reviews.
11. Prohibited use
You may not use the SDK for apps or traffic that violate laws, platform policies, user privacy, advertising policies, or third-party rights. You may not reverse engineer, resell, sublicense, tamper with, hide, manipulate, or misuse the SDK.
12. Availability and changes
We may modify, suspend, discontinue, update, or restrict any part of the SDK, website, monetization model, revenue share, eligibility criteria, or features at any time.
13. No guarantees
We do not guarantee revenue, approval, fill rate, eCPM, ad availability, SDK compatibility, app store acceptance, or any specific business result.
14. Limitation of liability
To the maximum extent permitted by law, Visiggi s.r.o. is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from use of the SDK, ads, website, or related services.
15. Termination
We may suspend or terminate access to the SDK immediately if we believe you violated these Terms, created risk, affected users, violated advertising policies, or created legal, compliance, security, or reputational concerns.
16. Governing law
These Terms are governed by the laws of the Czech Republic, unless mandatory law provides otherwise.
